Confidential Beta Testing Invitation Only
Effective Date—

This Agreement is between Kumite Classic Entertainment Corp. (the "Company") and William Viola III, individually (together, the "Disclosing Parties"), and the individual or entity identified below ("Recipient"). Each Disclosing Party may enforce this Agreement as to its own rights and Confidential Information.

1. Purpose and consideration

In exchange for permission to view, access, evaluate, or test KA1%ZEN 864 (the "Product"), Recipient agrees to these terms. Access is solely for private evaluation and authorized feedback to the Disclosing Parties (the "Purpose"). Access may include demonstrations, prototypes, beta builds, websites, presentations, and related materials. No purchase, employment, compensation, ownership, or future access is promised.

2. Confidential Information

"Confidential Information" means nonpublic information disclosed by or for either Disclosing Party, in any form, that is identified as confidential or reasonably understood to be confidential from its nature or the circumstances. It includes unreleased Product features; interface designs and workflows; code, algorithms, formulas, scoring and progression systems; characters, artwork and content; plans, pricing, business methods, customer or tester information; credentials; vulnerabilities; testing results; and notes or copies reflecting such information. Information need not bear a confidentiality label. The nonpublic content of demonstrations and discussions is also covered.

3. Exclusions

Recipient's obligations do not cover information Recipient can demonstrate was lawfully known without a confidentiality duty before disclosure, becomes public without breach, is lawfully received from a third party without a confidentiality duty, or is independently developed without use of Confidential Information. A public release of some Product features does not release other nonpublic information from protection.

4. Confidentiality and permitted use

Recipient shall use Confidential Information only for the Purpose and protect it with reasonable care, at least equal to the care used for Recipient's own similar confidential information. Recipient shall not disclose it to any other person except a legal adviser bound by confidentiality, or a representative expressly approved in writing by the Company who needs access for the Purpose and is bound by equally protective written obligations. Recipient is responsible for approved representatives' compliance. Access by coworkers, friends, family members, clients, or other testers requires this authorization.

5. Restrictions on viewing and testing

Without the Company's prior written approval, Recipient shall not take or share screenshots, photographs, audio or video recordings, screen captures, or copies; publish reviews, demonstrations, benchmarks, or test results revealing Confidential Information; post confidential material on social media; or upload it to AI tools, public repositories, or other third-party services. Copies technically necessary to run an authorized build and private written feedback submitted directly to the Disclosing Parties are permitted, subject to this Agreement.

Recipient shall not share credentials or access links, sublicense or distribute builds, remove proprietary notices, bypass access controls, scrape or extract data, or access another user's account or information. Recipient shall not reverse engineer, decompile, disassemble, or attempt to derive source code or underlying implementation, except where applicable law prohibits such a restriction. Security testing beyond ordinary authorized use requires separate written permission.

Recipient shall not use Confidential Information to copy or recreate the Product, develop or assist a competing product, train an AI model, or obtain intellectual property rights based on the Confidential Information. This restriction does not prohibit lawful independent development without use of Confidential Information.

6. Security and incident reporting

Recipient shall secure devices, accounts, and permitted copies; use only authorized test accounts and data; and avoid entering sensitive personal information or third-party data without written permission and lawful authority. Recipient shall notify the Company promptly, and no later than 24 hours after discovery, of suspected loss, unauthorized access, disclosure, or misuse, and reasonably assist containment and remediation. Send notices to the Company contact listed on the signature page; if unavailable, notify William Viola III through the established testing contact.

7. Ownership and feedback

All rights in the Product and Confidential Information remain with their respective owners. Recipient receives only a limited, revocable, nonexclusive, nontransferable right to access and use the Product for the Purpose. For feedback voluntarily submitted about the Product, Recipient grants each Disclosing Party a perpetual, worldwide, irrevocable, nonexclusive, royalty-free license to use, reproduce, modify, distribute, sublicense, and incorporate that feedback into products and services. Recipient shall not submit third-party confidential material or material Recipient lacks authority to license. This clause does not transfer ownership of Recipient's unrelated preexisting work.

8. Term; ending access; return and deletion

This Agreement begins on the Effective Date and governs disclosures during authorized access. Either side may end participation by written notice; the Disclosing Parties may suspend or revoke access at any time. Confidentiality and restricted-use duties continue for five years after access ends. For information qualifying as a trade secret, those duties continue for as long as it remains a trade secret under applicable law. Ending access does not extinguish accrued claims or the feedback license.

Upon request or termination, Recipient shall immediately stop use and, within five business days, return or securely delete Confidential Information, builds, credentials, and permitted copies — including any screenshots, photographs, screen recordings, exported files, and notes reflecting Confidential Information — and confirm completion in writing if requested. Copies legally required to be retained and inaccessible routine backups may remain only for the required retention period or normal deletion cycle, remain protected, and may not be used for other purposes.

9. Required and legally protected disclosures

If legally compelled to disclose Confidential Information, Recipient may disclose only what is required and, where legally permitted, shall give prompt advance notice and reasonable assistance with protective measures. Nothing in this Agreement restricts protected reporting to government agencies or other disclosures protected by law; those disclosures require no prior authorization or notice.

Notice under 18 U.S.C. § 1833(b): An individual is immune from federal and state trade-secret liability for confidential disclosure to a government official or attorney solely to report or investigate a suspected legal violation, or disclosure in a lawsuit or proceeding through a sealed filing. In a retaliation lawsuit for reporting a suspected legal violation, the individual may share the secret with counsel and use it in court if documents containing it are sealed and further disclosure occurs only by court order. This protection does not authorize unlawful access.

10. Evaluation status and remedies

The Product is provided "as is" for evaluation, without warranties to the extent permitted by law. Features may change, fail, or be withdrawn, and test data may be lost. Unauthorized use or disclosure may cause harm difficult to remedy with money alone. An affected Disclosing Party may seek injunctive relief and other remedies available under law, subject to applicable court requirements. This Agreement does not establish automatic penalties or guaranteed relief.

11. Governing law and general terms

Pennsylvania law governs, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in state courts in Westmoreland County, Pennsylvania, or, where federal jurisdiction exists, the U.S. District Court for the Western District of Pennsylvania. This is the entire agreement concerning confidential evaluation and testing and supersedes prior discussions on that subject. Amendments must be in writing signed by the affected parties. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. Counterparts and electronic signatures are permitted. Recipient's signer represents that they are at least 18 and authorized to bind any identified entity. Recipient may not assign or transfer this Agreement, or any rights or access under it, without the Company's prior written consent; any attempted assignment without consent is void. In any action to enforce this Agreement, the prevailing party is entitled to recover reasonable attorneys' fees and costs, to the extent permitted by law.

12. Minors and parental consent

A person under 18 may not sign this Agreement. Where the intended tester is a minor, the minor's parent or legal guardian signs this Agreement on the minor's behalf, identifies the minor below, and accepts responsibility for the minor's compliance with it. The parent or guardian shall supervise the minor's access, keep credentials and builds under the parent or guardian's control, and ensure the minor does not share, record, or publish Confidential Information. References to Recipient include the minor tester and the signing parent or guardian together.

13. Test data and privacy

The Product records information a tester enters or generates while using it — which may include a name or nickname, photographs, training sessions and times, body-weight entries, mood check-ins, journal entries, and goals. In this build that information is stored on the tester's own device and is not transmitted to the Disclosing Parties unless the tester sends it deliberately, for example as feedback or a screenshot. The Disclosing Parties do not require a tester to enter real personal information, and testers should avoid entering sensitive information about themselves or anyone else. Anything a tester does send becomes feedback under Section 7. A tester may delete test data at any time by clearing the Product's stored data on their device. Where the tester is a minor, the parent or guardian is responsible for deciding what the minor enters.
